This certificate (“ Agreement” ) is entered into and make effective as of date on January 151, 201 5 to December 31• 2017, by and between Argox Information Co. Ltd. with its registered office of business at 7F, No. 126, Lane 235, Pao Chiao Road, Hsin Tien, Taipei, Taiwan, ROC and ALC-Tech (M) Sdn Bhd (“ Distributor” ) with its registered office of business at 30-1/2, Jln 62/62A Bandar Menjalara, 52200,
Kepong, Kuala Lumpur, Malaysia. Both parties agree to cooperation of mutual trust to sales and service the products of Argox Information Co. Ltd. For good and valuable consideration the parties agree to as follows:
Appointment of distributor
Argox Information Co. Ltd. hereby agrees to grant ALC-Tech (M) Sdn Bhd as the authorized distributor of Argox Information Co., Ltd. Barcode Printers, Barcode Scanner, Portable Terminal and related accessory.
Distributor general obligation
ALC-Tech (M) Sdn Bhd shall purchase the product from Argox Information Co. Ltd. and devote the best efforts to support customers in Malaysia
ALC-Tech (M) Sdn Bhd will responsible for service and warranty on those products which sold by ALC- Tech (M) Sdn Bhd. ALC-Tech (M) Sdn Bhd should always prepare sufficient product as stock for market need, as well as sufficient spare parts for service and warranty.
Argox Information Co. Ltd. obligation
Argox Information Co. Ltd. agrees to deliver the goods (The goods means products and spare parts of the products). And spare parts to repair the products will be delivered to ALC-Tech (M) Sdn Bhd in warranty period, according to Argox service warranty policy.
